Instructor Terms
Welcome to Phlare! These Instructor Terms of Service ("Instructor Terms") govern your use of Phlare’s platform as a content creator and are incorporated by reference into our Terms of Service. These terms apply to any user that provides instructional content, classes, and/or office hours for use and access by Phlare’s userbase (an “Instructor”).
BY USING THE SITE AS AN INSTRUCTOR, OR OTHERWISE USING THE SERVICES, YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS; (B) REPRESENT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND (C) ACCEPT THESE TERMS AND AGREE THAT YOU ARE LEGALLY BOUND BY THESE TERMS AND THE PHLARE PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE, AND CEASE USE OF THE SERVICES.
- Instructor Responsibilities.
As an Instructor, you are responsible for all content that you post and all interactions with users, including lectures, assignments, communications and office hours.
By uploading or delivering courses, webinars, or office hours on Phlare, you agree that:
- You will provide and maintain accurate account information;
- You will provide accurate information related to your relevant qualifications, degrees, and experience;
- You are legally authorized to operate as an Instructor, and Your use of Phlare does not violate any contractual obligation you may have with third parties;
- You have the appropriate licenses, rights, consents, permissions, and authorizations for Phlare to publish the content you submit without the infringement of any Intellectual Property Rights or other contractual obligation;
- You maintain the appropriate licensures, degrees, qualifications, experience, education, knowledge, skills, skillsets and ability to provide instruction on the topics included in the content you submit;
- The content you submit will not include anything that may infringe or misappropriate any intellectual property rights;
- Your content will meet our quality standards and will not violate any applicable laws or infringe third-party rights;
- You are solely responsible for the accuracy, legality, and educational value of your submitted content;
- You will act in a professional manner and respect students, other Instructors, Phlare, and its platform;
- You will be reasonably responsive to student messages, and will be available for any live office hours scheduled with students, and will provide students with reasonable notice of any cancellations or rescheduling of any classes, webinars, events, office hours, or other availabilities advertised, scheduled or otherwise provided through Phlare;
- You will not post, transmit, or otherwise provide any inappropriate, racist, offensive, hateful, pornographic, defamatory, information or content;
- You will not post, transmit, or otherwise provide any false, incorrect, inaccurate, misleading, or deceitful information or content; and
- You are responsible for maintaining backups of your content. Phlare is not responsible for lost or damaged data.
- Instructor Relationship with Phlare and Phlare Users.
You are legally authorized to become an Instructor and acting as an Instructor, and providing content and instruction as an Instructor does not violate any contractual obligations to any third parties. You shall indemnify Company against any claims made by or on behalf of any such third parties.
As an Instructor, you are an independent contractor of Phlare, and NOT an employee. Nothing about these Instructor Terms or your related work shall be construed to imply an employment, partnership, joint venture or principal and agent relationship between you and Phlare. Any persons employed or engaged by Contractor in connection with the performance of the Services shall be Contractor’s employees or contractors, and Contractor shall be fully responsible for them and fully indemnify Company against any claims made by or on behalf of any such employee or contractor.
You have no direct contractual relationship with any users who access your content through Phlare. Any information about users will be provided to you through the Services. You agree that you will not use the data provided to you for any purpose other than providing your services to those users on Phlare. You represent and warrant that you will not solicit additional personal data or store users' personal data outside of Phlare’s systems and/or platforms. You agree to indemnify Phlare against any claims, liabilities, or damages resulting from your interactions with users or your handling of their personal data, or your use of any user’s personal data.
- Trademarks.
You may use our trademarks upon our explicit authorization, subject to the following: - You shall only use trademarks and trademark images that we make available to you, as detailed in any guidelines or media packets we may publish;
- You shall only use our trademarks in connection with the promotion and sale of your Submitted Content or other activity on or related to Phlare;
- You shall immediately comply if we request that you discontinue use.
- You shall not use our trademarks in a misleading or disparaging way;
- You shall not use our trademarks in a way that implies that we endorse, sponsor, or approve of your Submitted Content or services;
- You shall not use our trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material, or in any way that may harm Phlare’s reputation and/or goodwill.
- Content Ownership, Exclusivity & Portability.
You retain full ownership of your Content. The license you grant to Phlare is non-exclusive. You may create, publish, license, and sell your Content (and other content on similar topics) anywhere else, including your own website and other marketplaces. Nothing in these Terms restricts your ability to re-record, update, repurpose, or repackage your materials for use on other platforms or in other formats. Any exclusivity must be set out in a separate, written addendum that (i) expressly labels the applicable content as ‘exclusive,’ (ii) identifies the specific recordings covered, and (iii) states the exclusivity period and scope.
Phlare reserves the right to use snippets, clips, previews, or promotional elements of any length or type from the content you provide for marketing purposes.
Instructors may choose to unlist or hide their course from new user enrollments at any time. However, all previously enrolled users will retain access to such content at Phlare’s its sole discretion for any purpose.
When an Instructor provides any marketing materials for Phlare to use, we have the unrestricted right to use them for promotional purposes related to you and the platform
- Content Removal & Quality Control.
Phlare reserves the right to remove or disable any content at its sole and absolute discretion that: - Fails to meet minimum quality standards;
- Violates these Terms or other Phlare policies;
- Receives significant negative feedback or causes platform harm.
Repeated low ratings or complaints may also trigger content review or removal. - If removed, Phlare may restrict Instructor payouts and remove the course from new enrollment, while still allowing previously enrolled users to retain access.
- Revenue Share Models
Your content on Phlare may be monetized in the following ways:
Subscription Revenue Share
- The subscription revenue share is determined on a per-class basis, calculated according to the viewership of individual classes during each calendar month.
- The subscription revenue share is distributed across performance-based tiers. Each class is assigned to a subscription revenue share tier based on its individual subscription viewership performance relative to all other classes available to Phlare subscription users during the relevant month.
- Within each tier, the allocated revenue share is divided equally among all qualifying classes.
- The total subscription revenue share pool is equal to 17.5% of Phlare’s monthly subscription revenue for the relevant month. This pool is allocated across tiers as follows:
- Tier 1 Classes (Top 25% by subscription viewership): 9% of total subscription revenue
- Tier 2 Classes (25%–50%): 5.5%
- Tier 3 Classes (50%–75%): 3%
- Tier 4 Classes (75%–100%): 0%
- Subscription revenue share payments will be made on the first day of the second month following the applicable monthly reporting period.
À La Carte Revenue Share
- The ala carte revenue share is determined on revenue based on individual purchases of access to classes.
- Affiliate Sales: 97% to professor, 3% to Phlare
- Organic Sales:
- Tier 1 (0–5,000 users per class): 33% to professor
- Tier 2 (5,001–25,000): 35% to professor
- Tier 3 (25,001–75,000): 40% to professor
- Tier 4 (75,001–250,000): 45% to professor
- Tier 5 (250,001+): 50% to professor
- Payment for the À La Carte Revenue Share shall occur on a semi-monthly basis on the first and fifteenth of every month.
Office Hours Revenue Share
- For paid office hours revenue will be split 70% to professor, 30% to Phlare
- Payment for the Office Hour Revenue Share shall occur on a semi-monthly basis on the first and fifteenth of every month.
Live Webinars Revenue Share:
- 0–500 signups: 70% of Webinar revenue to professor
- 500–1,000: 75% of revenue to professor
- 1,000–10,000: 80% to professor
- 10,000–50,000: 85% to professor
- 50,000+: 95% to professor
- Payment for the Live Webinar Share shall occur on a semi-monthly basis on the first and fifteenth of every month.
- Missed Live Events.
If you cancel or fail to attend a scheduled live webinar or office hour session, you will lose eligibility for fixed-fee revenue share for that missed event, and for your subscription revenue share may be reduced accordingly. Users enrolled in any skipped or cancelled event caused by your absence may also be eligible for a cash refund or platform credit. - Course Discontinuation & User Access.
If you choose to discontinue and hide your course, Phlare reserves the right to continue allowing access for previously enrolled users. No new enrollments will be permitted after the course is discontinued and hidden. - Taxes and Platform Fees.
Phlare collects and remits applicable sales tax using integrated payment systems (e.g., Stripe) based on user location. A processing fee of 3% is applied to cover administrative and tax compliance costs. This is deducted before revenue share. - Instructor Availability & Responsiveness.
Instructors are expected to be reasonably responsive to user messages, especially for active courses and live office hours. Inactivity and unresponsiveness without notice may result in an account review. - Platform Operations and Service Changes.
Phlare may update, modify, or suspend features or services at any time. We are not responsible for service interruptions due to maintenance, technical errors, or third-party outages. - Prohibited Content.
You agree not to upload or distribute content that contains: - Misinformation or disinformation;
- Information that may be detrimental to Phlare’s reputation or public image, or otherwise puts Phlare in a bad light;
- Hateful, harassing, violent, or discriminatory material;
- Content that infringes on or violates intellectual property rights or other contractual obligations;
- Sexually explicit, pornographic, or otherwise lewd content;
- Anything that may be considered inappropriate for an educational environment;
- Anything that violates applicable laws or regulations.
Phlare will determine whether any content meets such criteria in its sole and absolute discretion.
- Third-Party Tool & Integration Compliance.
If you embed or link to third-party tools (e.g., forms, videos, downloads), you must ensure they comply with Phlare’s legal and privacy standards. - Instructor Feedback License.
Any feedback, suggestions, or ideas you provide may be used without restriction, and you grant a royalty-free, perpetual, irrevocable license to use such feedback for any purpose. You grant a royalty-free, perpetual, irrevocable, worldwide license for such feedback. - No Guarantee of Promotion or Earnings.
Phlare does not guarantee specific visibility, sales volume, or earnings for Instructors. Platform growth or algorithmic exposure is not promised and may change over time. - Indemnification.
You agree to indemnify, defend, and hold harmless Phlare and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys’ fees, arising from or relating to the content you provide on the Site, your use of the site, your interactions with Users, and any other breach of these Terms. - Dispute Resolution.
If you reside in the United States or Canada, you agree that: - All disputes will be resolved through binding individual arbitration.
- You waive your right to a jury trial or to participate in class actions.
- Payment Terms.
You are responsible for maintaining accurate tax and payment information. Phlare reserves the right to withhold payments in cases of fraud, legal violation, or unpaid refunds. - Termination.
Either party may terminate this agreement at any time. Upon termination, Phlare may retain access to your content for enrolled users and for promotional use. - Modifications to Terms.
Phlare may update these Instructor Terms from time to time. We’ll notify you of any material changes via email or platform notification. Continued use after changes constitutes acceptance.
